Position Overview:
The Senior Corporate Paralegal and Legal Operations Manager will work closely with the General Counsel to support legal operations, corporate governance, M&A due diligence, contract management, and risk mitigation efforts. This role is integral to supporting a large, multi-unit organization and offers significant opportunities for professional growth.
Key Responsibilities
Corporate Governance & Legal Operations Management:
- Support the General Counsel with corporate governance matters, including maintaining Board meeting minutes and stock records.
- Manage legal entity compliance, including company formations, foreign qualifications, and annual filings.
- Assist with developing and maintaining company-wide policies, document templates, and related training materials / initiatives.
Contract Management:
- Review, analyze, and provide feedback on a variety of contracts, including MSAs, consulting agreements, NDAs, contract amendments, work orders and vendor contracts.
- Track and maintain key contracts and related terms, particularly non-standard contract provisions for quick reference.
- Oversee and maintain the contract lifecycle management system and ensure the legal database is organized and up-to-date.
M&A Support & Risk Management:
- Manage due diligence efforts for mergers and acquisitions in collaboration with functional leaders.
- Manage claims process and litigation tracking, including organizing and maintaining relevant documentation.
- Maintain required company permits, including general contractor and environmental permits.
- Conduct legal research on various topics as needed, including employment law issues.
Qualifications
- Bachelor’s degree required; paralegal certification preferred.
- 10+ years of experience in legal operations, contract administration, corporate governance or similar fields.
- Exceptional attention to detail and strong organizational skills.
- Ability to manage multiple priorities in a fast-paced, collaborative environment and with a high level of confidentiality and professionalism.
- Proficient in legal research tools (e.g., LexisNexis or Westlaw), legal document management systems, and Microsoft Office Suite.
- Strong analytical and communication skills.

Physical Requirements:
- Prolonged periods of sitting at a desk and working on a computer
- Must be able to lift 15 pounds at times
- Must be able to access and navigate each department at the organization’s facilities
